These Terms of Service (“Terms”) govern your access to and use of the website, software, messaging tools, AI features, automations, CRM systems, and related services (collectively, the “Services”) provided by Convert Harvest LLC (“Convert Harvest,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

If you use the Services on behalf of a business or entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Services Provided

Convert Harvest provides services including, but not limited to:

Review and reputation automation

SMS and email messaging tools

AI-powered chat and voice tools

CRM and marketing automation

Integration and workflow services

We reserve the right to modify, suspend, or discontinue any feature at any time without liability.

No Guarantees

We do not guarantee:

Increased revenue

Increased reviews

Search engine ranking results

Deliverability rates

Business performance

Regulatory compliance outcomes

All Services are provided “as is” and “as available.”

3. Client Responsibilities

If you use messaging, automation, or outreach features (SMS, email, voice, or AI messaging), you are solely responsible for:

Obtaining legally required consent from recipients

Complying with TCPA, CAN-SPAM, CTIA guidelines, and all applicable laws

Maintaining accurate opt-in and opt-out records

Honoring opt-out requests promptly

Avoiding purchased, scraped, or third-party lists

Avoiding unlawful, deceptive, abusive, or prohibited content

Convert Harvest does not control your message content, audience selection, or compliance strategy.

You assume full responsibility for how you use the Services.

4. SMS & A2P 10DLC Compliance

Message frequency varies.
Message and data rates may apply.
Recipients may reply STOP to opt out.
Recipients may reply HELP for assistance.

Messages may be sent using automated technology.

Convert Harvest is not responsible for:

Carrier filtering

Message delivery failures

Carrier fees or penalties

A2P registration rejection due to inaccurate client information

Clients must provide accurate business details for registration and compliance.

5. Payment, Billing & Chargebacks

Payments are processed through third-party processors, including Stripe.

By purchasing subscription Services, you authorize recurring billing according to your selected plan.

Subscription Cancellation

Cancellations must be submitted before the next billing cycle to avoid renewal charges.

Non-Refundable Fees

Unless otherwise stated in writing, fees are non-refundable due to the nature of digital and subscription-based Services.

Chargebacks

You agree not to initiate chargebacks without first contacting us to resolve billing concerns. Fraudulent or bad-faith chargebacks may result in immediate account termination and recovery actions.

Failure to pay may result in suspension or termination of Services.

6. Third-Party Platforms & Providers

Services may rely on third-party infrastructure, APIs, messaging carriers, hosting providers, and CRM systems.

We are not responsible for:

Platform outages

API or feature changes

Carrier disruptions

Data loss caused by external providers

Service interruptions beyond our control

Use of third-party services is subject to their terms and policies.

7. AI Features Disclaimer

Our Services may include AI-powered tools.

You acknowledge:

AI output may be inaccurate, incomplete, or inappropriate

AI-generated content does not constitute legal, financial, or professional advice

You are responsible for reviewing and approving AI outputs

Convert Harvest is not liable for reliance on AI-generated content.

8. Intellectual Property

All software, branding, documentation, systems, and materials provided by Convert Harvest remain our intellectual property.

You may not:

Copy

Reverse engineer

Resell

Distribute

Create derivative works

without prior written permission.

9. Limitation of Liability

To the maximum extent permitted by law:

Convert Harvest shall not be liable for:

Indirect, incidental, consequential, special, or punitive damages

Lost profits or lost business opportunities

Regulatory fines caused by client misuse

Carrier penalties

TCPA violations

Data loss caused by third-party systems

Our total aggregate liability shall not exceed the amount paid by you to Convert Harvest during the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Convert Harvest, its owners, officers, employees, and affiliates from any claims, damages, liabilities, penalties, and expenses arising from:

Your violation of laws

Your failure to obtain proper consent

Your message content

Your misuse of the Services

Your breach of these Terms

This obligation survives termination of your account.

11. Termination

We may suspend or terminate your account if you:

Violate these Terms

Engage in unlawful messaging

Fail to pay

Create legal or compliance risk

You may cancel your account at any time subject to billing terms.

We reserve the right to refuse service to anyone at our discretion.

12. Force Majeure

We are not liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to carrier outages, internet disruptions, governmental actions, natural disasters, cyberattacks, or third-party service failures.

13. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved informally.

If unresolved, disputes shall be resolved by binding arbitration in Broward County, Florida, under applicable arbitration rules.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

14. Governing Law

These Terms are governed by the laws of the State of Florida without regard to conflict of law principles.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Convert Harvest LLC and supersede all prior agreements or understandings.
